Welcome to iQ pos, a cloud-based business management and Point of Sale (POS) platform operated by iQBusiness BD.
These Terms & Conditions (“Terms”, “Agreement”) govern your access to and use of iQ pos, our website, software, applications, features, services, and related products (collectively, the “Services”).
By registering for an account, purchasing a subscription, accessing, or using iQ pos, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you should not use our Services.

Subscription and account management
Features may vary depending on your subscription plan, business type, configuration, and future updates.
To use iQ pos, you must:
Provide accurate registration information.
Have the legal authority to enter into this Agreement.
Use the Services for legitimate business purposes.
Comply with applicable laws and regulations of Bangladesh.
Keep your account credentials secure.
If you are registering an account on behalf of a company, business, organization, or another entity, you confirm that you have authority to accept these Terms on its behalf.
Some features of iQ pos require you to create an account.
You agree to provide accurate and current information during registration and to update your information when necessary.
You are responsible for:
Maintaining the confidentiality of your password.
Protecting OTPs and authentication information.
Controlling access to your account.
All activities performed through your account.
Immediately notifying us of unauthorized access.
You must not share your account credentials with unauthorized persons.
iQ pos may offer free, trial, monthly, yearly, or other subscription plans.

Number of users

Pricing
We reserve the right to introduce, modify, or discontinue subscription plans or features.
Any major pricing or plan changes will be communicated through appropriate channels where reasonably possible.
From time to time, iQ pos may provide free trials, promotional offers, discounts, or special plans.

Usage limitations
Promotional pricing
Unless otherwise stated, promotional offers cannot be combined with other offers.
We reserve the right to modify or terminate promotional offers at any time, subject to applicable law.
Paid subscriptions must be paid according to the selected billing cycle and applicable pricing.
Depending on the available payment methods, payments may be made through:

You agree to provide accurate payment and billing information.
A subscription may be restricted, suspended, or terminated if payment remains unpaid or cannot be successfully processed.
Where automatic renewal is enabled, your subscription may renew automatically according to the selected billing period.
You are responsible for maintaining a valid payment method where automatic renewal is applicable.
You may cancel future renewal according to the cancellation procedure available for your subscription.
You may request cancellation of your subscription or account.
Cancellation may take effect:
Immediately; or
At the end of the current paid subscription period,
depending on the applicable plan and cancellation terms.
Cancellation does not automatically remove outstanding payment obligations incurred before cancellation.
Unless otherwise stated in a specific offer or agreement, subscription fees are generally non-refundable after the subscription period has started.
However, we may consider refunds in circumstances such as:
Duplicate payment
Incorrect billing
Technical issues caused directly by our Services that materially prevent use
Other circumstances determined by iQBusiness BD
Refund decisions may be made on a case-by-case basis and subject to applicable payment provider rules.
Third-party payment processing fees may not always be refundable.
You retain ownership of the business information and data that you enter into iQ pos, subject to our rights necessary to provide the Services.

You are responsible for ensuring that you have the legal right and appropriate authority to enter and process such information through iQ pos.
We take reasonable measures to maintain the availability and integrity of information stored within iQ pos.
However, you remain responsible for maintaining appropriate independent backups of critical business records.
Cloud services, servers, networks, hardware failures, software errors, cyber incidents, maintenance, and other events may result in temporary or permanent data loss despite reasonable security and backup measures.
For important financial, accounting, customer, inventory, and transaction records, we strongly recommend maintaining appropriate external backups.
You agree not to use iQ pos to:
Violate any applicable law.
Commit fraud or facilitate fraudulent activities.
Store or distribute unlawful content.
Attempt to gain unauthorized access to another account.
Interfere with the security or operation of the Services.
Introduce malware, viruses, or harmful code.
Reverse engineer or attempt to obtain source code.
Circumvent subscription limitations.
Abuse APIs, servers, or system resources.
Conduct activities that could damage the reputation or operation of iQBusiness BD.
Use the Services to infringe intellectual property or privacy rights of others.
We may restrict or suspend access where we reasonably believe that these Terms have been violated.
We may suspend, restrict, or terminate an account if:
The user violates these Terms.
Payment obligations remain unpaid.
The account is involved in fraudulent or abusive activity.
The account presents a security risk.
The Services are being used unlawfully.
Required by applicable law or a lawful authority.
Continued use could cause material harm to iQBusiness BD, other users, or the platform.
Where reasonably practical, we may provide notice before suspension or termination.
However, immediate action may be taken where necessary to protect security, users, systems, or legal interests.

Website design

Graphics
Logos
Branding

belong to or are legally licensed to iQBusiness BD unless otherwise stated.
You are granted a limited, non-exclusive, non-transferable, and revocable right to use the Services during your valid subscription.
You may not copy, reproduce, resell, redistribute, modify, reverse engineer, or commercially exploit any part of iQ pos without written permission.
You remain responsible for the content and information you upload, enter, or otherwise provide through iQ pos.
You represent that:
You have the necessary rights to use the information.
The information does not unlawfully infringe another person's rights.
The information is not knowingly false or fraudulent.
You will comply with applicable laws when collecting and processing personal information.
We do not claim ownership of your business data merely because you use our platform to store or process it.
iQ pos may integrate with or depend on third-party services, including:

However, uninterrupted availability cannot be guaranteed.

If you use iQ pos to store information about customers, employees, suppliers, or other individuals, you are responsible for ensuring that such collection and use complies with applicable laws.
You must not use iQ pos to unlawfully collect, disclose, or misuse another person's personal information.
Our handling of information is additionally described in our Privacy Policy.
We will take reasonable measures to protect confidential business information submitted through iQ pos.
We will not intentionally disclose your confidential business information except:
To provide the Services;
To trusted service providers where necessary;
With your authorization;
Where required by law;
To protect security, rights, or property;
As otherwise permitted by these Terms.
To the maximum extent permitted by applicable law, iQBusiness BD shall not be liable for indirect, incidental, special, consequential, or business losses arising from your use or inability to use iQ pos.

We do not guarantee:
A specific amount of sales
Increased profits
Business growth
Customer acquisition
Reduced expenses
Specific financial results
Any particular business outcome
Results depend on how the Services are configured and used and on factors outside our control.
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless iQBusiness BD and its owners, employees, contractors, and service providers from claims, losses, damages, liabilities, and reasonable expenses arising from:
Your violation of these Terms;
Your unlawful use of the Services;
Your business activities;
Your violation of another person's rights;
Information or content you submit through the Services;
Unauthorized use of your account resulting from your failure to protect your credentials.
We may update these Terms from time to time.
When changes are made, we may update the “Last Updated” date and, where appropriate, provide notice through the website, application, email, or other reasonable communication method.
Your continued use of iQ pos after the updated Terms become effective constitutes acceptance of the revised Terms, subject to applicable law.

Cyclones
Fire
War
Civil unrest
Government actions
Internet infrastructure failures
Major power failures

Telecommunications failures

Other extraordinary events beyond reasonable control
If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will continue to remain in effect to the extent permitted by law.
These Terms, together with our Privacy Policy and any applicable service-specific agreements, constitute the understanding between you and iQBusiness BD regarding your use of iQ pos.
Any additional terms specifically agreed between iQBusiness BD and a customer may override these Terms where expressly stated.
